**1. Scope**
1.1 These General Terms and Conditions (GTC) apply to all contracts, deliveries and other services between G ussimo Vending Professional (hereinafter "Seller") and the Buyer who purchases used vending machines from the Seller.
1.2 Any deviating, conflicting or supplementary general terms and conditions of the Buyer shall not become part of the contract unless the Seller expressly agrees to their validity in writing.
**2. Subject matter of the contract**
2.1 The seller sells used vending machines to the buyer. The condition of the vending machines will be described to the buyer or made clear in another way before the contract is concluded.
2.2 All machines offered are used and are sold without any guarantee or warranty. The buyer accepts the condition of the machines as inspected and described.
**3. Conclusion of contract**
3.1 The presentation of the machines on the website or in other sales documents does not constitute a legally binding offer, but a non-binding invitation to the buyer to submit an offer.
3.2 By ordering a machine, the buyer makes a binding offer to conclude a purchase contract. The purchase contract is only concluded when the seller confirms the buyer's order in writing.
**4. Prices and payment terms**
4.1 All prices are in Euros and do not include VAT, as the seller is exempt from VAT as a small business according to Section 19 of the German Value Added Tax Act (UStG).
4.2 The purchase price is due immediately after conclusion of the contract and is payable without deduction. The machine will only be delivered after the seller has received full payment.
**5. Delivery and shipping**
5.1 Delivery shall be made from the Seller's warehouse, which is also the place of performance. At the Buyer's request and expense, the Seller may ship the machine to another location.
5.2 The risk of accidental loss and accidental deterioration of the goods shall pass to the Buyer upon handover to the freight forwarder or another person designated to carry out the shipment.
**6. Exclusion of warranty**
6.1 The sale of used machines is made without any guarantee or warranty. This applies in particular to the functionality, condition and suitability for specific purposes.
6.2 The exclusion does not apply to claims for damages based on intent or gross negligence on the part of the Seller.
**7. Liability**
7.1 The Seller shall only be liable without limitation for damages resulting from intentional or grossly negligent breaches of duty.
7.2 The Seller shall only be liable for minor negligence in the event of a breach of essential contractual obligations, but the amount shall be limited to the damage typical for the contract that was foreseeable at the time the contract was concluded.
7.3 Any further liability is excluded.
**8. Retention of title**
8.1 The delivered machine remains the property of the seller until full payment has been made.
8.2 The Buyer is obliged to treat the machine with care during the retention of title period and to carry out all necessary maintenance work at his own expense.
**9. Final provisions**
9.1 Changes and additions to these Terms and Conditions must be made in writing. This also applies to the cancellation of the written form requirement.
9.2 Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
9.3 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
9.4 The place of jurisdiction for all disputes arising from this contract is the registered office of the Seller, provided that the Buyer is a merchant or has no general place of jurisdiction in Germany.
